To further the Company’s fundamental principles of honesty, loyalty, fairness and forthrightness, TETRA Technologies, Inc. has established a Code of Business Conduct and Ethics.

Our Code strives to deter wrongdoing and to promote the following six objectives:

1) Honest and ethical conduct;
2) Avoidance of conflicts of interest;
3) Full, fair, accurate, timely and transparent disclosure;
4) Compliance with the applicable government and 
     self-regulatory organization laws, rules and regulations;
5) Prompt internal reporting of Code violations; and
6) Accountability for compliance with the Code.

Each of the Company’s directors, officers and employees is expected to:

UNDERSTAND	TETRA expects you to understand the requirements of your position, including Company expectations and governmental rules and regulations that apply to your position.
COMPLY WITH	TETRA expects you to comply with this Code.
REPORT	TETRA expects you to report any violation of this Code of which you become aware.
BE ACCOUNTABLE	TETRA holds you accountable for complying with the Code.

The Company’s full Code of Business Conduct and Ethics has been approved and adopted, as has the Code of Ethics for Senior Financial Officers. Please also refer to policy number ER-7, which addresses problem solving and identifies procedures to be followed in order to report violations of this, or any other Company policies. We follow an “open door” policy at TETRA, and believe that problems are best and most quickly resolved by speaking directly with management, beginning with your immediate supervisor. However, we recognize that not all employees will be comfortable addressing problems or policy violations in this manner. An anonymous reporting procedure has been established for this purpose with an independent company called The Network.
